These terms of service ("Terms") govern your use of our software development consultancy services ("Services"), provided by Thrift Technologies ("us", "we", or "our"). By accessing or using our Services, you agree to be bound by these Terms.
We offer software development consultancy services, including but not limited to application development, web development, and system architecture design. Our specific services are detailed in our service agreements or project briefs.
You agree to use our Services for lawful purposes only and in accordance with these Terms. Any unauthorized use of our Services is expressly prohibited.
All intellectual property rights in the deliverables, excluding any of your pre-existing IP, shall be owned by us. You are granted a non-exclusive, worldwide, perpetual license to use the deliverables for your internal business purposes.
Both parties agree to keep all confidential information received from each other in strict confidence and use it solely for the purposes of this agreement.
Fees for our Services are specified in our service agreements. Payment terms are net 30 days from the invoice date, unless otherwise agreed.
Either party may terminate the service agreement with written notice if the other party breaches these Terms and fails to rectify the breach within 30 days of notice.
Our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the Services during the term of the agreement.
These Terms shall be governed by the laws of the State of Washington, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Your continued use of our Services following the posting of any changes to these Terms constitutes acceptance of those changes.
